1. Agreement to Terms

By accessing or using the JonyGPT website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our Services. These Terms constitute a legally binding agreement between you and JonyGPT.

2. Services Description

JonyGPT provides AI coaching, consulting, and development services including but not limited to:

  • AI strategy sessions and roadmap development.
  • Code coaching, reviews, and mentorship ("Coach Coding").
  • Production deployment support and optimization.
  • Team training and onboarding for AI-assisted development.
  • Custom GPT model configuration and integration.

3. Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use our Services. By using our Services, you represent and warrant that you meet this requirement and have the authority to enter into these Terms.

4. Engagement & Scope

Specific project engagements will be defined through individual agreements or statements of work that outline scope, deliverables, timelines, and fees. These individual agreements supplement but do not replace these Terms. Initial consultations (strategy sessions) are provided free of charge as described on our website.

5. Payment Terms

  • Fees for services will be outlined in your individual engagement agreement.
  • Payment is due according to the schedule specified in the engagement agreement.
  • All fees are non-refundable unless otherwise stated in writing.
  • We reserve the right to suspend services for accounts with outstanding balances beyond the agreed payment terms.

6. Intellectual Property

Our Property

All content on the JonyGPT website, including text, graphics, logos, design elements, and software, is owned by JonyGPT and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

Your Property

Code, strategies, and deliverables created specifically for your project during an engagement belong to you upon full payment, unless otherwise specified in your engagement agreement. Pre-existing tools, frameworks, and methodologies used in delivery remain the property of JonyGPT.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This includes but is not limited to business strategies, codebases, technical architecture, and client data. Confidentiality obligations survive the termination of any engagement.

8. Limitation of Liability

To the maximum extent permitted by law, JonyGPT shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services. Our total liability for any claim arising from an engagement shall not exceed the fees paid by you for the specific service giving rise to the claim.

9. Disclaimer of Warranties

Our Services are provided "as is" and "as available." While we strive to deliver high-quality results, we make no warranties, express or implied, regarding the outcomes of AI coaching or consulting engagements. Results may vary based on your implementation, team capacity, and external factors.

10. Acceptable Use

You agree not to:

  • Use our Services for any unlawful purpose or in violation of any applicable law.
  • Misrepresent your identity or affiliation when contacting us.
  • Attempt to interfere with, compromise, or disrupt our website or systems.
  • Scrape, copy, or reproduce our website content without permission.

11. Termination

Either party may terminate an engagement with written notice as specified in the individual engagement agreement. We reserve the right to refuse or terminate services at our discretion if these Terms are violated. Upon termination, you remain responsible for any outstanding fees for work already performed.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which JonyGPT operates, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our Services after changes constitutes acceptance of the revised Terms.
